Directors and Officers Liability Insurance (D&O) is insurance payable to the directors and officers of a company, or to the firm itself itself, as indemnification or reimbursement for losses from defense costs.  This would be in the event an insured - company, director or oficer -  suffers such a loss as a result of a legal action brought for alleged wrongful acts in their capacity as directors and officers.  D & O coverage can also cover defense costs arising out of criminal and regulatory investigations or trials.  It is not at all uncommon for civil and criminal actions to be brought against directors/officers simultaneously.  Of course, intentional illegal acts are not covered under D&O policies.


D & O has become closely associated with broader management liability insurance, which covers liabilities of the company itself and the personal liabilities for the directors and officers of the corporation.
